Terms of Trade
1. Introduction
These Terms of Trade govern the supply of professional consultancy and/or training services
(“Services”) by Safe Onsite NZ Ltd (“we”, “us”, “our”) to the client (“you”, “your”). By engaging our
services, you agree to be bound by these Terms.
2. Services
We will provide consultancy, health monitoring, training, auditing, facilitation, advisory, or related
services as agreed in writing between us and you (e.g. proposal, engagement letter, or signed quote).
Any scope changes must be confirmed in writing and may incur additional fees.
3. Fees and Payment
All fees are quoted in New Zealand dollars and exclusive of GST unless otherwise stated.
Services provided outside the standard hours of 6:00am–6:00pm will be charged at time and
a half rates.
Invoices are due for payment on the 20th of the month following the invoice date
Late payments may incur interest at 3% per month.
If your account remains unpaid and is referred to a debt collection agency or legal
representative, you will be liable for all reasonable collection costs, legal fees, and
disbursements incurred in recovering the outstanding amount. This includes any commission
or fees charged by the debt collection agency.
4. Cancellations and Rescheduling
Consulting & Health Monitoring Engagements:
A minimum of 2 working days notification is required for cancellation or postponement of clinic
appointments and 5 working days for site visits.
Full appointment charges will apply to cancellations/did not attend (DNA) outside these
notification times.
A 10% charge may apply for postponements outside the notification times. The hours charged
are based on the original scheduled booking.
Late arrivals may be charged if significant delays are incurred.
Training Cancellations:
If cancelled more than 5 business days before the scheduled date: no charge.
If cancelled 3-5 business days prior: 25% of the agreed fee will be charged.
If cancelled 1-2 business days prior: 50% of the agreed fee will be charged.
If cancelled on day of the course: 100% of the agreed fee will be charged.
Travel:
Services requiring travel may involve non-refundable expenses such as airline tickets and
accommodation bookings. Any costs that are incurred based on confirmed bookings will be
charged to the client if cancellations are made.
We will make every effort to accommodate rescheduling in good faith.
5. Intellectual Property
Unless otherwise agreed in writing:
We retain ownership of all training materials, templates, reports, and methodologies
developed or used during the delivery of services.
You are granted a non-exclusive, non-transferable licence to use any deliverables for internal
business use only.
Reproduction or distribution of materials beyond your organisation is not permitted without our
written consent.
6. Confidentiality
Both parties agree to keep confidential all information disclosed in the course of the engagement that
is not publicly available. This obligation continues beyond the termination of services.
7. Limitation of Liability
We will exercise reasonable skill, care, and diligence in providing our services.
To the fullest extent permitted by law, our liability (whether in contract, tort or otherwise) for
any claim arising from our services is limited to the amount paid for the services giving rise to
the claim.
We are not liable for indirect, consequential, or special damages, including loss of profit or
business opportunity.
8. Client Responsibilities
You agree to:
Provide all necessary information, access, and cooperation required for us to perform the
services.
Make timely decisions and approvals to enable project progress.
Ensure that any attendees of training or workshops behave in a respectful and non-disruptive
manner.
9. Force Majeure
We are not liable for any delay or failure to perform our obligations under this agreement due to
events beyond our reasonable control, including natural disasters, illness, government restrictions, or
internet outages.
10. Governing Law
These Terms are governed by the laws of New Zealand. Any disputes arising shall be subject to the
exclusive jurisdiction of the New Zealand courts.
11. Amendments
We reserve the right to update these Terms of Trade from time to time. The version in force at the
time of engagement will apply unless otherwise agreed in writing.
12. Acceptance
By engaging our services, paying a deposit, or otherwise confirming a booking, you acknowledge that
you have read and agree to these Terms of Trade.
13. Annual Adjustment of Rates
Our rates may be reviewed and adjusted annually on 1 April. Any adjustment will be based on
movements in the Consumer Price Index (CPI) as published by Statistics New Zealand, using the CPI
figure current as at 31 March of the relevant year.
